Welcome to SoA Consulting! These Terms of Service ("Terms") govern your access to and use of our services, including our website (www.ethicalconsulting.com.na), consulting services, and other related offerings. By accessing or using our services, you agree to comply with these Terms. 

 

1. Definitions 

• "Service Provider": Refers to SoA Consulting, including its employees, contractors, and agents. 

• "Client": Refers to individuals or businesses engaging our services. 

• "Services": Refers to fraud prevention, forensic accounting, compliance consulting, and any other services provided by SoA Consulting. 

 

2. Scope of Services 

The Service Provider offers consulting and training services as outlined on our website or agreed upon in a signed engagement letter. Specific details, including scope, timelines, and fees, are documented in individual agreements. 

 

3. Client Responsibilities 

Clients are responsible for: 

• Providing accurate and complete information required to deliver the agreed services. 

• Signing mandatory forms, including the Non-Disclosure Agreement (NDA), Know Your Customer (KYC), and Beneficial Ownership (BO) forms, as required by the Financial Intelligence Act (FIA). 

• Complying with all applicable laws and regulations. 

 

4. Payment Terms 

• Fees for services will be outlined in the engagement letter or package agreement. 

• Payments are due within [number] days of invoice issuance. 

• Late payments may incur penalties, as outlined in the engagement agreement. 

 

5. Confidentiality 

The Service Provider is committed to maintaining the confidentiality of all client information, except as required by law or regulatory obligations under the Financial Intelligence Act (FIA). 

 

6. Limitation of Liability 

The Service Provider is not liable for: 

• Indirect, incidental, or consequential damages arising from the use of our services. 

• Any actions taken by the Client based on the advice provided unless otherwise agreed in writing. 

The total liability of the Service Provider is limited to the amount paid for the specific service in question. 

 

7. Termination 

Either party may terminate the service agreement with 14 days' written notice. Upon termination, the Client is responsible for payments for services rendered up to the termination date. 

 

8. Dispute Resolution 

Any disputes arising from these Terms will be resolved through good faith negotiations. If unresolved, disputes will be submitted to arbitration under Namibian law. 

 

9. Governing Law 

These Terms are governed by the laws of Namibia. 

 

10. Changes to Terms 

We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting on our website. Clients are encouraged to review the Terms periodically.
